1. Acceptance of Terms

By accessing or using https://rzoman.com (the “Website”) or placing any order with RZ Oman, you agree to be bound by these Terms & Conditions (the “Terms”). If you do not accept these Terms, do not use the Website or place orders.

2. Definitions

  • “Buyer” or “you” means the person, company or entity who places an order with RZ Oman.

  • “Goods” means the products, materials, or components offered for sale by RZ Oman (e.g., valves, fittings, pipes, nuts & bolts).

  • “Order” means a purchase order issued by the Buyer and accepted by RZ Oman in accordance with these Terms.

  • “Contract” means the agreement formed when RZ Oman accepts a Buyer’s Order subject to these Terms.

3. Quotations and Orders

3.1 All quotations are valid for the period stated on the quotation or otherwise for 30 days from issue unless withdrawn earlier.
3.2 Orders are accepted only when confirmed in writing by RZ Oman (email confirmation, pro forma invoice or invoice). Any acceptance is expressly conditional on these Terms. Any differing or additional Buyer terms are excluded unless expressly agreed in writing by RZ Oman.

4. Price & Payment

4.1 Prices are as quoted and are exclusive of taxes, duties, customs, freight, insurance and other charges unless specified. RZ Oman may change prices prior to acceptance of an Order.
4.2 Payment terms will be set out in the invoice or contract. Unless otherwise agreed, payments are due in full within the agreed credit period from invoice date. For new Buyers, RZ Oman may require advance payment, pro forma payment or a letter of credit.
4.3 Late payments may incur interest at the lesser of 1.5% per month or the maximum permitted by applicable law, calculated daily from the due date until payment is received. The Buyer is responsible for all collection costs and bank charges.

5. Delivery & Risk

5.1 Delivery terms shall be agreed between the parties and will be set out in the Contract (e.g., EXW, FOB, CIF). If no delivery term is specified, RZ Oman will deliver EXW from its nominated warehouse.
5.2 Risk of loss or damage to Goods transfers to the Buyer on delivery to the carrier or at the agreed delivery point (as per the agreed Incoterm). Title to the Goods remains with RZ Oman until full payment is received.

6. Inspection, Claims & Returns

6.1 The Buyer must inspect Goods upon delivery and notify RZ Oman in writing of any defects, shortages, or non-conformities within seven (7) calendar days of delivery. If no notice is given within that period, the Goods shall be deemed accepted.
6.2 Returns are permitted only with RZ Oman’s prior written authorization and are subject to the manufacturer’s return policies, restocking fees, and compliance with original packaging and condition. Custom or specially-ordered items are non-returnable unless defective.
6.3 For defective Goods covered by manufacturer warranty, RZ Oman will assist with warranty claims in accordance with the supplier/manufacturer warranty terms.

7. Product Information & Specifications

7.1 RZ Oman endeavours to provide accurate product descriptions, specifications and images on the Website and in quotations. However, specifications and availability are subject to change by manufacturers and suppliers.
7.2 All technical guidance, advice, or recommendations provided by RZ Oman are given in good faith but are non-binding. Buyers remain responsible for verifying product suitability for their intended use.

8. Warranties & Disclaimers

8.1 Where applicable, manufacturer warranties apply to Goods and RZ Oman will pass through such warranties to the Buyer to the extent transferable.
8.2 Except as expressly provided, RZ Oman makes no other representations or warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
8.3 RZ Oman will not be responsible for costs of removal, installation, or other consequential expenses arising from defective Goods.

9. Limitation of Liability

9.1 To the maximum extent permitted by law, RZ Oman’s total liability under or in connection with any Order or these Terms (whether in contract, tort including negligence, or otherwise) shall not exceed the total price paid by the Buyer for the specific Goods giving rise to the claim.
9.2 RZ Oman shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of business, or loss of data.

10. Indemnification

The Buyer agrees to indemnify and hold harmless RZ Oman (and its officers, employees and agents) from any third-party claims, liabilities, losses or expenses (including legal fees) arising from the Buyer’s negligence, misuse of Goods, breach of these Terms or violation of applicable laws.

11. Intellectual Property

11.1 All content on the Website (text, images, logos, designs, layouts) is owned by or licensed to RZ Oman and is protected by copyright and other intellectual property laws.
11.2 The Buyer may not copy, reproduce, distribute, modify or create derivative works from Website content without RZ Oman’s prior written consent.

12. Confidentiality

Each party agrees to keep confidential any non-public, commercially sensitive information disclosed by the other party and not to use it except for the purposes of fulfilling the Contract.

13. Data Protection

Use of personal data is governed by RZ Oman’s Privacy Policy, available at https://rzoman.com/privacy-policy (or the location you publish it). By placing Orders or using the Website, you consent to the collection and processing of personal data as set out in that policy.

14. Force Majeure

RZ Oman shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, epidemics, governmental restrictions, supplier failure, natural disasters, or transportation disruptions. In such event, RZ Oman may suspend, postpone or cancel performance without liability.

15. Termination

RZ Oman may suspend supply, cancel Orders or terminate any Contract with immediate effect if the Buyer: (a) materially breaches these Terms and fails to remedy within seven (7) days after written notice; (b) becomes insolvent or enters bankruptcy/administration; or (c) fails to make timely payments.

16. Notices

All notices under these Terms shall be in writing and sent to the contact details on the Website or as otherwise specified in the Contract. Notices may be sent by email to kamal@rzoman.com.

17. Amendments

RZ Oman may amend these Terms from time to time. Updated Terms will be posted on the Website with a revised Effective Date. Continued use of the Website or continuation of business after publication constitutes acceptance of the updated Terms.

18. Governing Law & Dispute Resolution

These Terms and any Contract shall be governed by the laws of the Sultanate of Oman. The parties agree to attempt in good faith to resolve disputes amicably. If unresolved, the courts of Muscat, Oman shall have exclusive jurisdiction — unless the parties agree in writing to arbitration or alternative dispute resolution.

19. Severability & Waiver

If any provision of these Terms is held invalid or unenforceable, the remainder shall continue in full force and effect. Failure by RZ Oman to enforce any right is not a waiver of that right.

20. Assignment

The Buyer may not assign any Contract or any rights or obligations under it without RZ Oman’s prior written consent. RZ Oman may assign its rights to an affiliate or third party.

21. Entire Agreement

These Terms, together with any written Contract (including the accepted purchase order and any referenced documentation), constitute the entire agreement between the parties and supersede all prior understandings, negotiations, and communications.
